Terms of Service & Platform Agreement

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and AskZeni LLC (“AskZeni”, “we”, “us”, or “our”) governing your access to and use of the AskZeni website (askzeni.com), web applications, document analysis engines, SMART on FHIR patient integrations, and related APIs (collectively, the “Service”).

By accessing the Service, creating an account, authenticating via passkey/email, or submitting health inquiries, you represent and warrant that:

• You are at least 18 years of age (or the age of legal majority in your jurisdiction) and possess full legal capacity to enter into binding contracts.
• If you are accessing the Service on behalf of a household family member, dependent minor, or legal ward, you represent that you possess lawful parental or guardianship authority to manage their health records.
• If you are accessing the Service on behalf of an entity (such as a law firm, clinical research group, or healthcare institution), you have authority to bind that entity to these Terms.

AskZeni is designed strictly as a health literacy, multi-AI consensus comparison, and doctor-visit preparation platform. The Service operates in full compliance with the 21st Century Cures Act Section 520(o)(1)(E) and the U.S. Food and Drug Administration (FDA) Guidance on Non-Device Clinical Decision Support Software:

To access document vaults, cloud sync, or personalized inquiry history, you must authenticate through a verified email magic link, WebAuthn/FIDO2 biometric passkey (Touch ID, Face ID, Windows Hello), or TOTP two-factor authentication (2FA).

• Account Security: You are solely responsible for maintaining the confidentiality of your credentials, registered passkey authenticators, and linked email accounts. You agree to notify AskZeni immediately at contactus@askzeni.com if you suspect unauthorized account access.
• Household Family Sub-Vault Governance: Pro Family accounts permit the account holder to create isolated sub-vaults for up to six (6) household family members. The primary account holder assumes full legal responsibility for all sub-vault uploads, authorizations, and consent acknowledgments.
• Guardian Representation: By creating a sub-vault for a minor child, you certify that you are the minor’s lawful parent or legal guardian with statutory power to manage their educational health records.

AskZeni enforces a zero-trace architecture. Prior to submitting queries or uploading medical documentation, client-side regex algorithms strip all 18 HIPAA Safe Harbor identifiers (45 CFR § 164.514(b)(2)) on your physical device:

Furthermore, all outbound multi-model inference requests are executed under strict commercial Zero-Data Retention (ZDR) agreements with OpenAI, Anthropic, Google DeepMind, and DeepSeek. Your submitted health data is never used to train or refine foundational AI models.

Users may ingest medical records, pathology reports, lab summaries, and clinical notes via direct upload (PDF, PNG, JPG, DICOM), private email forwarding (vault-{id}@askzeni.com), or connected cloud folder synchronization.

• Transient Processing: Documents forwarded to your personal AskZeni vault email are processed in ephemeral memory for OCR extraction and de-identification. Raw email payloads are discarded after ingestion.
• User Document Warranty: You represent and warrant that you hold lawful rights to possess and upload all submitted documents, and that your uploads do not violate third-party privacy rights or state laws.
• Storage & Erasure: Document embeddings stored in your account vault remain accessible throughout your active subscription. You may trigger 1-click permanent deletion of any document or your entire vault at any time upon request or through session controls.

Under the 21st Century Cures Act Patient Access Final Rule (45 CFR Part 170/171), patients hold a federal right to access their electronic health information (EHI). AskZeni provides a SMART on FHIR v2.0 client to connect directly to certified hospital endpoints (including Epic MyChart, Cerner Millennium, AthenaHealth, and Allscripts):

• Zero Password Access: You authenticate directly on your healthcare provider’s official OAuth 2.0 authorization server. AskZeni never views, intercepts, or stores your hospital username, password, or biometric tokens.
• Patient-Directed Authorization: You explicitly grant read-only access to specific FHIR resource scopes (e.g., patient/Observation.read, patient/Condition.read). You may revoke this access at any time through your hospital patient portal.

AskZeni provides both pay-per-event access and recurring subscription tiers designed for individual patients and household families:

• Monthly Expiration Policy: Unused document page allowances expire at the conclusion of each 30-day billing cycle and do not roll over.
• Add-On Page Packs: Active subscribers who exhaust their monthly page allocation may purchase supplemental Add-On Page Packs ($4.99 per 100 pages). Purchased add-on pages remain available for 12 months.
• Automatic Renewal: Subscriptions automatically renew at the conclusion of each billing period (monthly or annually) unless canceled prior to the renewal date.

Our order process is conducted by our online reseller and Merchant of Record, Paddle.com Market Ltd (“Paddle”). Paddle provides customer service inquiries and handles all tax compliance (sales tax, VAT, GST), PCI-DSS Level 1 compliant card handling, and multi-currency billing.

Your Health Records & Inputs: You retain 100% sole ownership, title, and intellectual property rights in and to all medical documents, images, notes, and inquiries submitted to AskZeni. AskZeni claims zero ownership over your personal health records.

Generated Outputs & Prep Sheets: AskZeni grants you a worldwide, perpetual, royalty-free license to use, download, print, and share your generated AI consensus summaries, 1-Page Doctor Prep Sheets, and conflict comparison matrices for your personal healthcare management and clinical consultations with licensed medical providers.

Platform Intellectual Property: AskZeni LLC retains all proprietary rights, trademarks, patents, software algorithms, multi-model consensus synthesis engines, and visual user interfaces. You may not copy, reverse-engineer, decompile, or frame any aspect of the AskZeni platform.

You agree to use AskZeni only for lawful, educational, and personal decision-support purposes. You expressly agree not to:

• Use the Service to practice medicine without a valid license, issue unauthorized diagnostic certifications, or prescribe medications.
• Employ automated scrapers, crawlers, botnets, or data extraction scripts against AskZeni APIs or consensus streams.
• Submit malicious payloads, prompt injection attacks, jailbreaks, or reverse-engineering probes designed to extract foundational model weights or system prompts.
• Impersonate any person or healthcare professional, or upload medical records of an individual without their explicit lawful authorization.
• Attempt to circumvent billing limits, passkey authentication, or multi-tenant sub-vault isolation barriers.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR CLINICAL ACCURACY. AI MODELS MAY OCCASIONALLY GENERATE INACCURACIES, OMISSIONS, OR MODEL DIVERGENCES; CONSEQUENTLY, RELIANCE ON ANY OUTPUT IS STRICTLY AT YOUR OWN RISK.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASKZENI LLC, ITS MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR UPSTREAM AI PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF HEALTH DATA, DELAYED CLINICAL CARE, MEDICAL OUTCOMES, OR LOST PROFITS.

IN NO EVENT SHALL ASKZENI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO ASKZENI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

Governing Law: These Terms and any dispute arising from your use of AskZeni shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to conflict of law principles.

Informal Negotiation: Before filing any formal claim or arbitration, you agree to contact us at contactus@askzeni.com with a detailed description of your dispute to allow for a good-faith 30-day informal resolution period.

Binding Individual Arbitration: If the dispute is not resolved within 30 days, any claim or controversy arising out of or relating to these Terms shall be settled by binding individual arbitration administered in Spokane, Washington by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

CLASS ACTION WAIVER: YOU AND ASKZENI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
